為鼓勵新創及中小型企業發展，營造更有利之商業環境，我國公司法於2015年9月1日起施行閉鎖性股份有限公司專節。閉鎖性股份有限公司之特點在於：允許以信用勞務出資、允許公司以章程限制股份轉讓、可採用無面額股、允許發行多種有價證券、允許股東表決權信託與表決權契約、股東會可以書面方式行使表決權而不實際集會等。
專節的頒行不僅翻轉以人合資合區隔公司組織型態的傳統概念，也使公司法自「管制」（Regulate）推進到「促進」（Facilitate），可以預見的是，閉鎖性公司專節兩大思維，組織中性及去管制化，終將蛻變貫穿整部公司法。
